The Microsoft Corporate, External and Legal Affairs (CELA) department has an immediate opening for a dynamic, motivated and experienced Legal Counsel to join our Commerce + Ecosystems Team within the Cloud and AI CELA organization. This person will work closely with the Commerce + Ecosystems engineers and business groups, including the teams that build and support the Microsoft Commerce Platform. This person will work on cutting edge financial and regulatory issues that are essential to Microsoft’s business strategy.


  • Provide timely, concise and business-focused legal advice in areas including eCommerce, payments law, consumer financial laws, data privacy laws, consumer protection laws, new rules and enforcement actions, and provide product development guidance on the design and modification of programs and services, including the Commerce Platform
  • Proactively identify associated risks and recommend mitigation strategies, review product user experience and advise on legal compliance, and help document guidance for consumption by members of both the legal and engineering teams
  • Structure and negotiate agreements, including agreements to enable a global payments strategy, advise executives and stakeholders on liabilities associated with different deals, work with business and functional stakeholders to understand, structure, draft, negotiate and close commercial agreements with external partners
  • Day-to-day interaction with business clients, business lawyers and engineering teams
  • Prior product legal experience and experience negotiating complex commercial deals in the technology or financial services space and/or working with strategic partners to launch joint product experiences recommended but not required


  • At least six (6) years of experience as a practicing attorney either in-house (or in an equivalent setting) or at a reputable law firm, with at least 2 years of those years focused on either payments law, the FinTech space, or financial services regulatory analysis

  • Law degree (JD, LLB or equivalent) from an accredited US law school with excellent academic credentials

  • Admission to and in good standing with the state bar of at least one U.S. state

  • Creative thinker with strong problem-solving skills and the ability to stay calm under challenging circumstances

  • Outstanding written and oral communication skills and ability to work both in teams and independently

  • Ability to handle multiple assignments simultaneously, with effective resolution of conflicting priorities

  • Openness to adapting his/her practice in response to the changing landscape of the industry

  • Facilitate a team-based approach to subject matter management and knowledge sharing, and comfort with a flexible, agile environment that emphasizes collaboration and team performance over management hierarchy

  • Desire and ability to work as part of a team and with diverse groups and cultures
