Your new role


The primary purpose of the role is to support the Company Secretary, Investments in managing the secretariat and governance related tasks for the direct transaction forums, investment Committee and AustralianSuper's separate legal entities ("SLEs") (Also known as Special Purpose Vehicles) held within the Investment Portfolio. This includes the collaboration with various stakeholders, collation and distribution of Board papers for each forum, being in attendance and taking minutes. You will manage the Investment Committee meeting calendar and coordinate the induction for new Investment Committee members.

Your key duties will focus on:

  • Monitor and ensure compliance with each forum's charter.
  • Monitor and report on delegations exercised by each forum, including updating the investment decision register as required.
  • Assist with the centralization of the Company Secretariat function, to ensure consistency and efficiency across the Board, its Committees and Direct Transaction Forums.
  • Management of secretariat and governance related tasks for various AustralianSuper's SLEs.
  • Assist with the appointment of the nominee directors process, including maintaining the register of nominee directors up to date.
  • Assist with the tax compliance aspects of SLEs.
  • Keep up to date with relevant legal requirements applicable to SLEs.

What you'll need

  • Detailed understanding of the duties of a Company Secretary and related legislations.
  • Strong analytical skills, organisational skills and a high attention to detail.
  • Experience with acting as a Company Secretary for investment entities as well as formal Company Secretary qualifications would be highly desired.
  • You will need to be a self-starter and comfortable working in a small team where direct involvement in tasks is required.
  • Comfortable working with senior staff and issuing them directions.
  • Have developed the capability to know when to escalate issues to their manager.
  • Knowledge of a Director's/Board's legal responsibilities.
