Legal Counsel

Location: Greater London

Job Type: Full time

FundApps is a SaaS scaleup that helps investment managers monitor and comply with worldwide regulations. We were one of the world's first "RegTechs" and we're shaking up an entire industry. Our clients love what we do and this has led to phenomenal consistent revenue growth.
Our first area of focus was to help managers with Shareholding Disclosure, a complex regulatory problem without a fit-for-purpose solution in the market. Since that time, our service has become the undisputed market leader for the management of Shareholding Disclosure. We have also added new ground-breaking services - Sensitive Industries and Position Limits - and in 2020, introduced Rapportr to make reporting simple for our clients.
Every day, our service monitors a collective US$14 trillion in assets under management on behalf of clients ranging from US$50 million Hedge Funds to the largest Sovereign Wealth Fund in the world.
We’re a growing team of 100 FundAppers and over 30 nationalities at last count. We have offices in London, New York and Singapore and remote employees spread across the globe. In 2018, we became a Certified B Corporation and in 2019 were recognised as a B Corp 'Best for the World' Honoree - highlighting our commitment to doing good by our people, the environment and the community.
We're a team of smart, friendly people who collaborate closely and take pride in delivering amazing software and providing extraordinary customer support. You’ll help shape what we work on and how we do it. You won’t be micro-managed or stuck in a rut. We work hard on challenging problems and have a good time doing it.
What we're looking for
As we continue to grow our team and client base across the globe, we are seeking an in-house Legal Counsel to provide commercial and legal expertise to our revenue, technology, client and operations teams.
Reporting to the CFO, you’ll be excited by the opportunity to get stuck in across a full breadth of B2B legal and contractual areas. We are big believers in the value of simplicity, so you’ll be a natural at distilling complex areas of law into practical steps and recommendations that support our vision and mission. Most importantly, as our sole in-house Legal Counsel, you’ll feel at home working with autonomy across internal teams and with external clients and prospects at all levels.

What you'll be doing

  • Partner with Sales teams across all stages of the B2B contract lifecycle, including new prospect RFPs and agreements, contract deviations, NDAs, renewals and terminations.
  • Shape our global growth and legal entity structure as we expand into new regions - we are currently headquartered in the UK with a subsidiary in the US and are about to incorporate in Singapore. We are considering our plans for the EU.
  • Maintain the Company books and responsibility for regulatory filings, as required with external legal guidance as necessary.
  • Work with our security, operations, client services and marketing teams to support our approach to data protection, GDPR compliance, intellectual property and trademark registrations.
  • Advise on our global employment structures, tax & social security obligations, immigration, permanent establishment and employee incentive plans as they evolve.
  • Provide oversight and expertise on our employment contracts, third party vendor and service contracts.
  • Ensure that we maintain robust systems and practices relating to our governance and compliance duties across the company that are fit for purpose as we grow.
  • Maintain connections with external counsel and legal networks for specialist advice and to stay up to date with regulatory changes that affect us.
  • What you can bring to the role

  • A qualified lawyer with 5+ years of experience in corporate transaction, technology and/or commercial law either in-house or at a law firm.
  • Demonstrable experience of providing legal support across B2B, enterprise and technology contracts, including client negotiations.
  • A willingness to attend calls, as required, with sales prospects and potential suppliers to guide and finalise legal negotiations.
  • Comfortable shifting between areas requiring strategic advice across a longer time horizon, to operational work where we just need to GSD.
  • An ability to communicate complex areas of law in a way that is simple and precise.
  • A pragmatic approach to assessing legal risk and a commercial mindset when providing advice and recommendations.
  • A strong partnership mindset with a natural ability to manage and prioritise projects across multiple stakeholders.
  • Bonus Points

  • In-house experience in a high-growth Enterprise B2B SaaS business.
  • Cross-border international experience, particularly in the US, Europe or Asia.
  • Experience embedding scalable processes for companies with 100+ clients and 100+ employees across several jurisdictions.
  • NOTE: We don't expect you to tick every box; if you get warm fuzzy feelings about what we're trying to achieve at FundApps, then we want to hear from you!We require permission to work in the UK without sponsorship. This can be a fully remote role within the UK.
