We are currently seeking a VP/Assistant General Counsel to join the Legal team. This is an exciting opportunity for a solicitor with significant experience in outsourcing and technology transactions. In this newly created role, you will support the bank across all areas of commercial contracting and marketing. You will handle the structuring, drafting, negotiation and analysis of agreements for the acquisition and consumption of technology products and services, including but not limited to material Outsourcing agreements, SaaS agreements, Software License Agreements, platform agreements, connectivity, API, and cloud services contracts. You will also support the marketing team, providing advice on all aspects of marketing; including the rules relating to the marketing of financial products; reviewing financial promotions and all other marketing content; and advising on associated regulatory issues.

Responsibilities:

  • Draft, review, interpret, and negotiate all commercial contracts and agreements, including with third party suppliers with a focus on technology agreements such as, digital onboarding, software licensing, fraud prevention, data use, and SaaS agreements
  • Managing end-to-end negotiations, and navigating internal processes and coordination between the business, Sourcing, and other subject matter experts to reach timely and successful execution of agreements. Advising the business on its rights and responsibilities related to those agreements, including compliance with company policies, risk appetite and regulatory requirements
  • Negotiating standard form and bespoke contracts in order to minimize the risk to the business through adherence to firm policies, procedures, and regulatory requirements
  • Remain up to date on regulatory developments in the UK and across the EU in relation to outsourcing, technology and data use
  • Review all marketing content to ensure compliance with legal requirements, intellectual property rights and general good practice
  • Remain up to date on domestic/EU regulatory developments in relation to the marketing of the products, with a particular focus on digital marketing.
  • All other duties as necessary or assigned in connection with legal support to the business

Qualifications/Preferred Skills:

  • UK/German qualified lawyer
  • Fluency in German and English
  • 5+ years as a practising solicitor or equivalent with extensive transactional experience drafting and negotiating a broad range of supplier agreements, including EBA compliant outsourcing agreements
  • Experience in-house with a financial institution, large technology organisation or FinTech preferred
  • Familiarity with global regulatory issues relevant to the use of technology in financial services, including cloud, outsourcing and third-party risk management
  • Experience across a broad range of advertising channels both online and offline desirable
  • Familiarity with cybersecurity, technology controls, information security, data privacy and protection
  • Strong analytical, problem-solving and legal research skills
  • Strong business judgment and strategic thinking
  • Global mindset and cross-border experience (especially UK, EU and US)
  • Proven ability to independently identify issues, analyze problems and provide viable solutions
  • Excellent verbal, written, interpersonal, organizational and negotiation skills
  • Ability to work under accurately under pressure, handle deadlines, and manage multiple tasks in a high performance environment
  • Excellent interpersonal skills and ability to build consensus across a global matrix organization.
