In order that OTS can provide efficient advice and support to the boards, senior management, Lines of Business and control groups in the Europe, Middle-East & Africa ("EMEA") region, the Office of the Secretary is seeking to recruit an Associate Vice President, to be based in London. Key aspects of this role will include providing governance advice and corporate secretarial support to regulated entities in the region. This will call for close engagement with senior management and independent directors and leveraging support from the wider OTS team in order to drive an effective governance model.
Job Description
- Provide corporate governance support and company secretarial services to regulated entities of the Firm, and coordinate closely with OTS teams in EMEA and globally;
- Handle and oversee compliance with all relevant statutory and regulatory corporate governance matters of relevant entities (e.g. statutory filings in relation to corporate changes and compliance with relevant regulatory corporate governance requirements) and advise board directors on these and related governance matters;
- Embed and, where necessary, enhance best practice governance standards, within the overall framework of JPM;
- Advise board chairs and board directors at and outside of scheduled board meetings on all relevant governance matters;
- With the support of OTS' legal entity management team for non-advisory aspects, prepare and distribute relevant documentation, agendas, board packs, and action point, managing the flow of information from the business and other communication to the boards, and/or shareholders where required;
- Preparation of written resolutions, draft minutes and actionable items for board members and shareholders for review and approval;
- Maintain corporate records and internal databases;
- Engagement on governance-related projects that impact legal entity governance on EMEA or globally, liaising with other EMEA and wider global locations and counterparts in other locations;
- Ability to work in a fast-paced environment and within tight deadlines;
- Potential ability to travel on a regular basis within the EMEA region, e.g. to attend board meetings and to develop relationships with internal stakeholders.
Academic And Professional Qualifications
- Strong degree-level academic background;
- At least five years' experience in a similar corporate governance/company secretarial role; and
- CGI/ICSA qualified or Part CGI/ICSA qualified is desirable
Knowledge, Skills And Experience
- Relevant experience in financial services or related industry;
- Knowledge of corporate secretarial laws, practical knowledge of corporate governance and regulatory framework governing financial services businesses is desirable;
- Awareness of the ever-changing regulatory environment of working in the financial services industry with an enthusiasm for rising to new challenges;
- Good teamwork and communication skills, inter-personal, focused, flexible, proactive and able to take own initiatives , prioritise, handle time pressure and manage multiple projects at the same time with flexibility to adapt to shifting expectations ;
- PC skills: ability to use legal entity management systems (e.g. Blueprint/GEMs); Word, Excel, PowerPoint and other system and spreadsheet packages; proficient and fast at learning and adapting to new technology and software; and
- trong awareness and pro-active tracking of corporate governance matters impacted by changing law and regulations in the financial services industry.
