The Opportunity
We are currently recruiting for a Senior Legal Counsel to come and join our team in Sydney. In this key role you will provide expert legal advice and support to our organization across a wide range of legal matters.
You will work closely with internal stakeholders to ensure that our business operations are conducted in compliance with applicable laws and regulations while mitigating legal risks.
Key Responsibilities:
- Drafting and reviewing NDAs, exclusivity agreements, consultancy agreements, and partnering agreements for bids related to infrastructure projects under PPP and BOOT schemes.
- Reviewing and providing instructions to external lawyers on suite of project documents for PPP projects including Project Deed, D&C Subcontract, O&M Subcontract, Interface Agreements, Finance Agreements (eg Common Terms Deed, Facility Agreements, bridge loans etc) and Equity Agreements (eg shareholder agreements, trust deeds, constitutions, subscription agreements etc)
- Undertake and manage project legal and commercial workstream tasks as required in the project origination phase.
- Selection and management of legal advisors.
- Monitoring and advising on legal issues arising on Assets in delivery or operation including providing legal support in relation to project refinancing, claims, responding to subpoenas and legal proceedings (including arbitration).
About You:
- Current Australian practicing certificate.
- Ideally you will have strong PPP experience, D&C front end and back end and project finance or equity experience.
- Extensive legal experience working on large scale infrastructure and/or renewable energy projects (ideally a mix of front and back end).
- Previous in-house legal experience is essential; private practice experience is a plus as well as leading a small team.
