Role Description:
Assist in protecting the Company’s legal interests and maintaining its operations within the scope established by law.
Responsibilities:
- Assist in protecting the Company’s legal interests and maintaining its operations within the scope established by law;
- Review of commercial agreements like Master Service Agreements, Alliance Agreements, License Agreements and other agreements relevant to the business of an Information Technology service provider, including the management and approval of drafting & reviews of such agreements by junior counsel;-
- Participating in negotiations with customers and vendors across Australia and New Zealand and ensuring conformance with internal contracting/escalation requirements and risk mitigation requirements; managing and controlling the internal escalation and approval procedures
- Creating and maintaining standard contract forms and adapting contracts to local laws in the region
- Analysing legal issues and issues related to commercial risks, and presenting clear recommendations, and assuring legal compliance;
- Undertaking legal advisory functions in relation to general corporate compliance;
- Providing legal advice to all levels of executive staff
- Coordinating with external counsel/local law firms where required
Experience:
- Lawyer with minimum 8 years’ post admission experience, with a law degree and admission in a relevant Australian jurisdiction and relevant experience in the IT industry.
- Strong transactional drafting and communication skills;
Domain expertise in contracting related to the information technology business and related industry verticals;
- Must be a team player
- Must have strong and effective communication and interpersonal skills
- Must be constantly involved in learning and innovation processes within the organization and the department
- Must have the ability to analyse and apply logical reasoning while addressing issues
- Must have good organisational and time management skills
- Must have the ability to provide high quality work on a consistent basis
- Must have the ability to build collaborative partnerships within different teams, including the ability to network within the organization and outside in order to add value to the legal department’s functionality
Professional:
- Prior experience in independently handling a variety of transactions including high value and complex transactions;
- Good general management skills, particularly management of legal workflow;
- Must be able to demonstrate/show examples of solutions provided to complex commercial and legal issues;
- Prior experience in providing legal advice to influence decisions at senior management levels
