About the role:
Reporting to the General Manager of People, Legal and Culture (PC&L)/the Company Secretary, the Assistant Company Secretary coordinates the preparation and distribution of papers for Board and Board Committee meetings across CitiPower, Powercor, United Energy, Beon Aerial Services, Australian Energy Operations and DUET/CK William Australia, along with their related companies. Requiring a high degree of professionalism and prioritisation, the role also prepares and coordinates meeting minutes, along with providing general administrative and team/functional support to the General Manager and PC&L function.
What you’ll deliver:
- Manage the end-to-end Board and Sub-Committee meeting processes to enable efficient and effective decision making within established delegations of authority.
- Develop, with viable assumptions, the company secretarial stream budget and manage to that budget.
- Manage and coordinate shareholder and director requests for information.
- With support of our internal Legal team, manage responsibilities under the Corporations Act.
- Act as a conduit to ensure effective information flows between the Board, shareholders and the senior management team.
- Support the Company Secretary to manage day to day issues and processes involved in the Company Secretarial function.
- Liaise with our Legal and Finance teams, auditors and key stakeholders as required.
To succeed in the role you’ll have:
- Tertiary qualification in business/commerce, or a relevant discipline.
- Experience working incorporate governance or company secretariat functions.
- Experience in liaising and communicating with a wide range of stakeholders, including executives.
- Strong process and writing skills with a high degree of attention to detail.
- Sound interpersonal and organisational skills.
- An active membership of an appropriate professional body such as the Governance Institute of Australia or the Australian Institute of Company Directors (AUCD) (well regarded).
- Familiarity with Diligent Board software (advantageous).
