ABOUT OUR PERTH OFFICE
South32's Perth office is based in the heart of the CBD and is a modern, fit-for-purpose workplace designed to foster collaboration, innovation and performance. The office houses key functions including Human Resources, Finance, Investor Relations, Corporate Development, Commercial, Technical, Legal and External Affairs. Our office is conveniently located a short five-minute walk from the Perth Underground and Elizabeth Quay Train Stations.

ABOUT THE ROLE
As Principal Company Secretariat you will provide governance and company secretariat support across South32’s subsidiaries, joint ventures, and Group operations.
Reporting to the Assistant Company Secretary, you will ensure subsidiary compliance with regulatory and governance requirements, facilitate subsidiary Board, joint venture, and shareholder activities, oversee corporate actions and disclosures, and drive process improvements to strengthen South32’s governance framework and Company Secretariat capability.
Key responsibilities include:
- Support subsidiaries and joint venture compliance with constitutions, corporations law, governance standards and regulatory requirements.
- Co-ordinate subsidiary Board and select joint venture meetings, agendas, papers, minutes and support governance tasks such as director independence assessments, skills matrix compilation and onboarding/training of subsidiary directors.
- Oversee and support subsidiary incorporations, director/officer changes, reorganisations, acquisitions/disposals, capital changes, subsidiary wind‑ups and provide support for strategic projects.
- Maintain statutory registers, executed documents, delegations of authority, and corporate records in Diligent Entities; champion system use and accuracy; support preparation and delivery of the Annual Report (including Governance Chapter) and Appendix 4G, ensuring verification and timetable deliverables.
- Support relationships with joint venture partners, overseas agents, legal representatives, directors, auditors, share registries and shareholders.
- Maintain the Group Structure Chart and subsidiary calendar; support projects and initiatives to improve Company Secretariat processes and systems; develop and refine internal procedures to meet deadlines and enhance efficiency.
ABOUT YOU
- Knowledge and experience in Australian corporate governance, including the Corporations Act and ASX Listing Rules
- Proven experience in company secretariat responsibilities and regulatory compliance
- Strong communication, relationship-building, and organizational skills
- Prior exposure to the mining or resources sector is highly desirable
Qualifications:
- Law Degree
- Graduate Diploma Corporate Governance with Governance Institute of Australia or equivalent, or willing to undertake relevant studies (desirable)
