We currently have an exciting opportunity for a Company Secretary at Perth CBD Office on a Full-time Permanent basis.
About this role
This is a senior role that reports directly to the General Counsel and Executive Manager for Legal, Governance and External Relations.
As the Company Secretary you will be the lead adviser to the Board Chair, Board of Directors, CEO and Executive Management on all Board and corporate governance matters and ensure the effective development and administration of Board processes and corporate policies.
The role ensures that Western Power’s Board meets its statutory, regulatory, governance and legal obligations under the relevant legislation with specific reference to its corporate responsibilities as a Government Trading Entity (GTE). This role also provides governance, corporate secretarial and administrative support for the Executive Management in all its meetings.
The responsibilities of this role also include:
- Leading the effective organisation of Board, Executive Management and Board Committee meetings, liaising with the Chair and CEO about meeting agendas, taking accurate and clear minutes at all Board, Management and Committee meetings and following up with senior business leaders on any actions arising from these meetings.
- Advising on all corporate governance issues related to Executive Management, Board and Board Committees.
- Ensuring that the Board and Executive Management processes and procedures run efficiently and effectively, and that adequate performance and integrity mechanisms are in place to reduce risks associated with Board and Executive performance.
- Developing and maintaining the Board and Committee Charters and Corporate Governance Framework.
- Managing the external stakeholder and government engagements of the Board Chair and Directors in collaboration with the relevant Western Power business functions including Government Relations, Community & Stakeholders, Finance and Legal Services.
- Coordinate across all areas of Western Power to ensure timely and efficient presentation of business papers that assists with the strategic focus of the Executive and Board.
- Facilitating the development and implementation of policies and procedures that align with Western Power’s GTE governance and regulatory obligations and objectives.
- Managing the Corporate Secretariat team by developing, training and mentoring secretariat team member(s) to provide effective secretariat services to Western Power Board and Executive Management.
About you
We are seeking someone with experience and attributes that include:
- Extensive and broad Company Secretary experience.
- Holding a law degree which qualifies you for holding a legal practicing certificate that entitles legal practice in WA; or a Commerce/ Business degree or an equivalent Governance qualification.
- Proven experience working with multiple senior stakeholders.
- Possess confident, professional, and mature communication skills with the ability to interact effectively with directors, senior management, and other internal and external stakeholders.
- The ability to assess and make sound judgements, often in circumstances involving conflicting issues.
- Strong influencing and engaging communication and interpersonal skills.
- Excellent writing and verbal communication skills with a high level of integrity.
