About the team
Our TS team assists clients in a wide variety of matters including mergers, acquisitions, investments in listed and private companies, IPOs, equity raisings and business development including new projects and investment decisions.
The role is responsible for co-coordinating due diligence (DD), assess financial, accounting, tax, governance and controls, and provide M&A transaction support services to clients.
What will your typical day look like?
- Develop proposals based on briefs received
- Develop an understanding of the target business and its drivers
- Identify, manage and report on financial risks of potential acquisitions or disposals
- Interpret and analyse information memoranda, business plans, publicly available information on the target business
- Undertake financial DD, review and analyse historical trading, quality of earnings, cash flow, working capital, net debt, capital expenditure, forecasts and underlying assumptions through an in-depth review of the audited historical accounts, management accounts and business plans. Collect, analyse and interpret information on the financial standing, cost structures and trading effectiveness of organisations
- Develop solutions, recommendations on normalised EBITDA, deal price, working capital adjustments, earn-outs, acquisition synergies
- IPO work – perform the role of investigating accountants, advise organisations’ governing boards on matters concerning compliance with stock exchange listing rules, support of issuing a negative assurance opinion in respect of an Investigating Accountants Report
- Assess systems and processes and how they relate to the financial and management information of the business
- Assess controls and governance environment of the business
- Review the adequacy of financing structure, agreements and consideration of limits, terms and covenants
- Present findings and observations to senior management
- Report potential key issues for clients including identification of risk or price factors impacting investment decisions
- Review sale and purchase agreements (SPA's), financial model to reflect findings of the DD process
- Work closely with project-based teams, supervise and review the analysis of junior members, support senior team members with accountability for overall engagement management and quality of deliverable
- Involvement in a wide range of transactions including acquisitions, takeovers, mergers, divestments, capital raisings
- Liaise with government, corporates and bankers on projects during the DD stage through till financial close
- Presentation of findings – arrange, give notice of and attend meetings of directors and shareholders
- Manage transactions, liaise with client and target management and other deal stakeholders during the DD process
Enough about us, let's talk about you
You would have:
- Undergraduate Accounting/ Finance degree and/or CA or equivalent qualification
- Min. 3 years of relevant experience in audit, accounting, and transaction services, financial DD with a clear grasp of the M&A lifecycle
- Great attitude, a strong desire to learn and be an important member of a high performing M&A team
