Role Purpose

As Legal Counsel, you will be responsible for supporting the UK based Legal Team on a range of legal activities in the EMEA regions in which the business operates. These activities will include supporting the management team in achieving its corporate goals, whilst ensuring that the business operates in accordance with relevant laws, and that contractual and commercial risk is minimised. You will work closely with the sales and account management teams in negotiating contracts with clients, and with central business units in negotiating agreements with suppliers whilst providing practical and commercial advice and support.

Your objectives and responsibilities will focus on…

  • Providing effective, accurate and timely legal advice to business managers in relation to general commercial contracts.

  • Identifying and managing legal risks in the context of the overall commercial plans of the business.

  • Drafting, negotiating, amending and reviewing a wide range of legal documents including master services agreements and service orders, software licences, support and maintenance agreements, consultancy and confidentiality agreements.

  • Providing assistance with M&A transactions and general corporate matters when required.

  • Advising on privacy issues.

  • Fully visible and accessible within the business working closely with sales, contract teams and clients as required.

  • Representing the business in meetings with existing and potential clients.

  • Providing a balanced and robust commercial approach to negotiations.

  • Providing high quality precedents for internal use, and inputting on internal processes from a legal and good governance perspective.

  • Encouraging the adoption of a strong and positive compliance culture.

  • Assisting with the drafting and implementation of legal policies and procedures.

  • Assisting with or leading (as appropriate) legal projects and initiatives

To be successful in this role you will…

  • Have PQE Experience/ exposure in drafting contracts, as well as data protection experience, ideally within an Technology or Fintech environment.

  • Sound knowledge of contracts and commercial law principles and practices.

  • Proactive and pragmatic approach to providing solutions to risks of a commercial or legal nature.

  • Displaying confidence and composure when in difficult negotiations.

  • Ability to balance and prioritise own workload and deliver to deadline.

  • Displaying a team ethos but with ability to work without supervision when required.

  • A proactive, professional and flexible approach to work, with strong analytical and critical thinking skills.

  • A persuasive advocate who is not afraid to convey difficult messages to the business in order to identify practical solutions.

  • Strong interpersonal and communication skills with ability to build strong working relationships with key stakeholders.
